LunaByte Terms & Conditions
Effective Date: 7/16/2026
These Terms & Conditions ("Terms") govern the services provided by LunaByte ("LunaByte," "we," "our," or "us") to the client ("Client," "you," or "your"). By purchasing or using our services, you agree to the following Terms.
1. Services
LunaByte provides technology services including, but not limited to:

Administrator as a Service (AaaS)

Microsoft 365 Administration

Website Design & Development
-
Website Maintenance
-
Security Reviews & Compliance Assessments
-
Backup Configuration & Management
-
License Management & Optimization
-
IT Documentation
-
Automation & Custom Scripting
-
Data Migrations
-
Software Integrations
-
Procurement Assistance
-
Help Desk Services (when purchased as an add-on)
-
Other technology consulting services as agreed upon in writing
Services provided depend on the selected service plan and any purchased add-ons.
2. Initial Service Term
All recurring LunaByte service plans require an initial three (3) month commitment.
This onboarding period allows LunaByte to fully assess your environment, implement improvements, establish documentation, optimize licensing, and develop long-term administrative processes that produce measurable value.
During the first 90 days, LunaByte may perform:

Microsoft 365 environment assessment

User and license audit
-
Security and permissions review
-
Backup assessment
-
Website review (if applicable)
-
Documentation review
-
Process improvement recommendations
-
Automation opportunities
-
Administrative planning
This assessment and planning service is included at no additional cost for active subscribers.
Following the initial three-month term, services continue on a month-to-month basis until canceled.
3. Cancellation
Following the initial three-month commitment, either party may terminate recurring services by providing 30 days' written notice.
Outstanding invoices remain due upon cancellation.
Any project work already performed before cancellation will be invoiced accordingly.
4. Billing & Payment
Recurring services are billed monthly in advance.
Invoices are due upon receipt unless otherwise agreed in writing.
Late payments may result in suspension of services until payment has been received.
LunaByte reserves the right to charge reasonable late fees where permitted by law.
5. Scope of Services
Each service plan includes only the services listed within that plan.
Services outside the selected plan—including project work, migrations, onsite visits, Help Desk support, emergency support, or custom development—may require an additional quote.
6. Help Desk Services
Help Desk support is an optional add-on and is not included with Administrator as a Service plans unless specifically purchased.
Help Desk services are subject to the purchased support plan, ticket limits, or hourly rates.
7. Onsite Support
Onsite support is available within the DMV (District of Columbia, Maryland, and Virginia) service area.
Onsite visits:

Require scheduling
-
Are subject to a 72-hour Service Level Agreement (SLA)

Incur additional travel and labor charges
Emergency onsite requests may be accommodated based on availability.
8. Service Level Agreements (SLAs)
Response times vary depending on the selected service plan.
An SLA represents LunaByte's target time to acknowledge and begin working on a request. It is not a guaranteed resolution time.
Actual resolution times depend on the complexity of the issue, vendor dependencies, third-party services, and client responsiveness.
9. Client Responsibilities
The Client agrees to:

Provide accurate account information

Maintain valid software licensing unless otherwise managed by LunaByte

Provide necessary administrative access
-
Respond promptly to requests for information
-
Maintain appropriate cybersecurity practices
-
Notify LunaByte of changes affecting supported systems
Failure to provide required access may delay services.
10. Third-Party Services
LunaByte may recommend or configure third-party products including Microsoft 365, hosting providers, registrars, backup platforms, or other software vendors.
The Client remains responsible for all third-party subscription costs unless otherwise stated.
LunaByte is not responsible for outages, pricing changes, policy changes, or service interruptions caused by third-party providers.
11. Security
LunaByte follows industry best practices when administering client environments.
However, no technology system can be guaranteed to be completely secure.
The Client acknowledges that cybersecurity risks exist despite reasonable preventive measures.
12. Backups
Where backup services are included or purchased, LunaByte will configure and monitor backup solutions.
Although backup health is monitored, LunaByte cannot guarantee recovery from every scenario including corruption, ransomware, hardware failure, vendor outages, or client-caused data loss.
Clients remain responsible for verifying business continuity requirements.
13. Website Services
Website maintenance includes only the services outlined in the selected plan.
Large redesigns, new functionality, content creation, copywriting, branding, or extensive development may require a separate project proposal.
The Client is responsible for supplying logos, text, images, and other required content unless otherwise agreed.
14. Intellectual Property
Upon full payment, ownership of completed website content created specifically for the Client transfers to the Client unless otherwise agreed.
LunaByte retains ownership of proprietary scripts, automation tools, templates, methodologies, documentation frameworks, and internal processes.
15. Confidentiality
LunaByte will treat all client information as confidential and will not disclose confidential information except:

With written permission from the Client

As required by law

When necessary to provide contracted services through trusted vendors
16. Limitation of Liability
To the fullest extent permitted by law, LunaByte shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, business interruption, or loss of data.
LunaByte's total liability shall not exceed the total fees paid by the Client during the preceding three (3) months.
17. Changes to These Terms
LunaByte reserves the right to modify these Terms.
Updated Terms will become effective upon publication on the LunaByte website.
Continued use of services constitutes acceptance of the revised Terms.
